RC GOLD TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS

By downloading, installing, accessing, or using the RC GOLD mobile application ("App") and related services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Cityzoo Limited Company ("Company," "we," "us," or "our"), a company registered in Vietnam.

2. DEFINITIONS

• "Account": Your RC GOLD loyalty program account

• "Crown" - "Point": Loyalty reward points earned through purchases and activities

• "Services": All features, functionalities, and services provided through the App

• "User," "You," "Your": Any person who accesses or uses the App

• "Content": All information, data, text, images, and other materials in the App

• "Merchant Partners": Authorized retailers and service providers participating in RC GOLD

3. ELIGIBILITY AND REGISTRATION

3.1 Age Requirements

• You must be at least 13 years old to use RC GOLD

• Users under 18 must have parental/guardian consent

• We reserve the right to verify age at any time

3.2 Registration Requirements

• Provide accurate, current, and complete information

• Maintain and update your account information

• You are responsible for maintaining account security

• One account per person; multiple accounts are prohibited

3.3 Geographic Restrictions

RC GOLD is primarily intended for users in Vietnam. Access from other countries may be restricted.

4. LOYALTY PROGRAM RULES

4.1 Earning Crown

• Crown are earned on qualifying purchases from participating merchants

• Point earning rates are determined by the Company and may vary

• Points are typically credited within 0-72 hours of product scan

• Bonus crown promotions may have specific terms and expiration dates

4.2 Crown Values and Conversion

• Crown values are determined by the Company and subject to change

• Current conversion rates are displayed in the App

• Crown have no cash value and cannot be sold or transferred

4.3 Redeeming Points

• Points can be redeemed for products, merchandise, or discounts as available

• Minimum redemption thresholds may apply

• Redemptions are subject to availability and merchant participation

• Some exclusions may apply to certain products or services

4.4 Point Expiration

• Points may expire if account is inactive for 12 months

• Expiring points will be removed on a first-in, first-out basis

• We will provide notice before points expire when possible

5. ACCOUNT RESPONSIBILITIES

5.1 Account Security

• Keep your login credentials confidential

• Notify us immediately of any unauthorized use

• You are liable for all activities under your account

• We are not responsible for losses due to unauthorized access

5.2 Prohibited Activities

You agree NOT to:

• Use the App for illegal or unauthorized purposes

• Violate any local, national, or international laws

• Attempt to gain unauthorized access to our systems

• Use automated tools to access the App (bots, scrapers, etc.)

• Create fake accounts or impersonate others

• Manipulate the points system or engage in fraudulent activities

• Interfere with other users' enjoyment of the Service

5.3 Account Suspension and Termination

We may suspend or terminate your account if you:

• Violate these Terms

• Engage in fraudulent or suspicious activities

• Provide false information

• Abuse the loyalty program

6. PRIVACY AND DATA PROTECTION

6.1 Data Collection and Use

• Your use of RC GOLD is subject to our Privacy Policy

• We collect and process data in accordance with Vietnamese law

• By using the App, you consent to data processing as described in our Privacy Policy

6.2 Marketing Communications

• We may send promotional messages with your consent

• You can opt-out of marketing communications at any time

• Transactional messages (account updates, receipts) may still be sent

7. INTELLECTUAL PROPERTY

7.1 Our Rights

• The App and all content are owned by the Company or licensed to us

• RC GOLD trademarks, logos, and brand names are our property

• You receive a limited, non-exclusive license to use the App

• This license does not grant you any ownership rights

7.2 User Content

• You retain rights to content you submit (reviews, feedback, etc.)

• By submitting content, you grant us a license to use, modify, and display it

• You represent that your content does not violate third-party rights

• We may remove content that violates these Terms

8. MERCHANT PARTNER RELATIONSHIPS

8.1 Third-Party Merchants

• RC GOLD partners with independent merchants

• We are not responsible for merchant products, services, or policies

• Disputes with merchants should be resolved directly with them

• Merchant participation may change without notice

8.2 Purchase Terms

• All purchases are subject to merchant terms and conditions

• Refunds and returns are governed by merchant policies

• Points earned on returned items may be deducted from your account

9. DISCLAIMERS AND LIMITATIONS

9.1 Service Availability

• We strive for continuous service but cannot guarantee 100% uptime

• Services may be interrupted for maintenance or technical issues

• We reserve the right to modify or discontinue features

9.2 Disclaimer of Warranties

The App is provided "AS IS" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose

• Accuracy or completeness of information

• Uninterrupted or error-free operation

9.3 Limitation of Liability

To the maximum extent permitted by Vietnamese law:

• Our liability is limited to the value of points in your account

• We are not liable for indirect, incidental, or consequential damages

• This limitation applies to all claims, whether based on contract, tort, or otherwise

10. INDEMNIFICATION

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the App

• Violation of these Terms

• Infringement of third-party rights

• Your negligent or wrongful conduct

11. MODIFICATIONS TO TERMS

11.1 Right to Modify

• We may update these Terms at any time

• Material changes will be notified through the App or email

• Continued use after changes constitutes acceptance

• If you disagree with changes, you may terminate your account

11.2 Program Changes

• Loyalty program rules, point values, and benefits may change

• We will provide reasonable notice of material program changes

• Changes may affect points already earned

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms are governed by the laws of Vietnam, without regard to conflict of law principles.

12.2 Dispute Resolution Process

1. Direct Resolution: Contact our customer service first

2. Mediation: Attempt mediation through Vietnam International Arbitration Centre (VIAC)

3. Arbitration: Binding arbitration in Ho Chi Minh City, Vietnam

4. Court Jurisdiction: Vietnamese courts have exclusive jurisdiction

12.3 Class Action Waiver

You agree to resolve disputes individually and waive participation in class actions or representative proceedings.

13. TERMINATION

13.1 Termination by You

• You may terminate your account at any time through the App

• Upon termination, your points will be forfeited unless redeemed

• Some provisions of these Terms survive termination

13.2 Termination by Us

We may terminate your account for:

• Violation of these Terms

• Fraudulent or suspicious activity

• Extended inactivity

• Legal or regulatory requirements

13.3 Effect of Termination

• Your right to use the App ceases immediately

• Outstanding points are forfeited

• We may delete your account data subject to legal retention requirements

14. FORCE MAJEURE

We are not liable for delays or failures due to circumstances beyond our reasonable control, including:

• Natural disasters or acts of God

• War, terrorism, or civil unrest

• Government actions or regulations

• Technical failures or cyber attacks

• Pandemic or public health emergencies

15. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them valid.

16. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding RC GOLD. They supersede all prior agreements and understandings.

17. LANGUAGE

These Terms are available in Vietnamese and English. In case of discrepancies, the Vietnamese version prevails for users in Vietnam.

• You have read and understood these Terms

• You agree to be bound by these Terms

• You have the legal capacity to enter into this agreement

• Your use of the App constitutes acceptance of these Terms
